Tolk Starter Licence
Version 1.0, 16 October 2026
This licence is between Tiny Giants, CVR 29437645, Sigurd Rings Vej 26, 5200 Odense V, Denmark ("we", "us"), and the business that buys a Tolk Starter licence ("you"). By buying a licence, or by downloading, copying or using the Software, you accept it. If you buy on behalf of a company, you confirm that you may bind it.
Tolk Starter is sold to businesses only. By buying, you confirm that you buy in the course of your trade, business or profession.
1. Definitions #
- Software: the Tolk Starter source code, documentation and other material we make available in the private repository we give you access to, including the Updates you receive. It does not include Third-Party Components.
- Project: one website for one owner (you, or one of your clients), run as one Payload installation with one production database. Its development, test and staging environments, and all its languages, markets and domains, are part of the same Project. A new website for the same owner on a separate installation is a new Project. Where one installation serves several owners' websites, each website is a separate Project.
- End Client: a person or business for whom you build a Project.
- Project Licence: a licence for one Project. Agency Licence: a licence for any number of Projects.
- Update Period: 12 months from the date of purchase.
- Updates: new versions of the Software that we release during your Update Period.
- Third-Party Components: software, fonts, icons, data and services made by others, whether installed through a package manager or used over a network, including those listed in
THIRD_PARTY_NOTICES.md.
2. What you may do #
2.1 Once you have paid, we grant you a worldwide, non-exclusive, perpetual licence to use, copy and modify the Software, and to make works based on it, in order to build, run and maintain:
- with a Project Licence: one Project at a time. If you take that Project down for good, you may use the licence for a new one;
- with an Agency Licence: any number of Projects, for yourself and for your End Clients.
2.2 Your employees and contractors may use the Software on your behalf, for your Projects only. You are responsible for their compliance with this licence.
2.3 The licence does not expire for the versions you have received. Only the right to receive new versions ends, with the Update Period (section 5).
2.4 During the Update Period, you may upgrade a Project Licence to an Agency Licence by paying the difference between their prices at the time.
3. End Clients #
3.1 You may deliver a Project, including its source code, to its End Client.
3.2 The End Client may run, host, maintain and modify that Project, and have others do so, for that Project only. The End Client gets no other rights in the Software.
3.3 If this licence ends under section 10, End Clients keep their rights under 3.2 for the Projects they have paid you for.
4. What you may not do #
You may not, and may not let others:
- (a) sell, license or distribute the Software, or any work based on it, as a starter kit, template, theme, boilerplate, plugin, library or any other product that lets others build websites. Delivering a Project under section 3 is allowed;
- (b) publish the Software or any substantial part of it, for example in a public repository or a package registry;
- (c) offer the Software or any part of it, including its translation and block synchronisation features, as a separate product or as a hosted service to third parties;
- (d) run a hosted website builder or platform on which third parties create their own websites with the Software;
- (e) remove or alter copyright, licence or attribution notices;
- (f) use the name or logo "Tolk" as the name of your own product or service. You may say that a website is built with Tolk.
5. Updates, repository access and support #
5.1 During the Update Period, you get read access to the private repository and every Update we release. We do not promise any particular Update, feature or date. A planned feature is not part of your purchase until it is released.
5.2 After the Update Period, your access to the repository may continue, but we may end it at any time. You keep the right to use the versions you have received.
5.3 Keep your own copy. Copy the Software into a repository you control, and do not rely on a fork of ours: when access to a private repository ends, the hosting service may delete forks of it.
5.4 An Update may need changes to your code or data. Applying it is up to you.
5.5 Support: report bugs through the repository's issue tracker. We answer on a reasonable-efforts basis, without guaranteed response times. Support does not cover your own modifications.
6. Third-Party Components and services #
6.1 Third-Party Components are licensed to you by their owners under their own licences, not under this licence, and nothing in this licence limits the rights those licences give you. You are responsible for complying with them in what you distribute, including the websites you publish.
6.2 AI features. The AI features call the Anthropic API with a key you provide, under your own agreement with Anthropic. We do not provide, host or pay for that service, and we are not responsible for its availability, its models, its terms or its costs, including costs from misuse of your key.
6.3 Other services, such as map tiles, email and video hosting, are chosen and configured by you and used under their own terms.
7. Your content and data #
7.1 You own your content. We do not host the Software for you, and we do not receive your content or personal data through it.
7.2 You are the controller of any personal data your websites process, including data sent to third-party services you configure. We are not your data processor.
7.3 AI output can be wrong. The Software saves it as drafts to review. You are responsible for what you publish.
8. Ownership #
We and our licensors own the Software and all intellectual property rights in it. You own your content and your additions. Your modifications of the Software are works based on it and may be used only under this licence. If you give us feedback or suggestions, we may use them without obligation to you.
9. Transfer #
You may not transfer this licence, except:
- (a) a Project Licence, together with its Project, to that Project's End Client, who then takes your place under this licence for that Project; or
- (b) as part of the sale of your whole business.
10. Termination #
If you materially breach this licence and do not fix the breach within 30 days of our notice, we may end it. You must then stop using the Software and delete your copies, subject to section 3.3.
11. Warranty #
11.1 We confirm that we have the right to grant this licence.
11.2 Otherwise, the Software is provided "as is", without warranties of any kind, including fitness for a particular purpose, to the extent the law allows.
12. Limitation of liability #
12.1 Our total liability under or in connection with this licence is limited to the amount you paid for it.
12.2 We are not liable for indirect or consequential loss, including loss of profit, revenue, business or data, or for claims by your End Clients or other third parties.
12.3 Nothing in this licence limits liability that cannot be limited by law, including liability for intent or gross negligence.
13. Purchase and refunds #
13.1 Licences are sold through Polar, which acts as merchant of record and handles payment, tax and receipts. Polar's terms of purchase apply to the purchase.
13.2 You may ask for a full refund within 14 days of purchase, without giving a reason. A refund ends your licence and your access to the repository, and you must then delete your copies.
14. Changes to this licence #
We may publish new versions of this licence for new purchases and new versions of the Software. A new version does not change the terms of a licence you have already bought, for the versions you have received.
15. Governing law and venue #
This licence is governed by Danish law. Disputes go to the Danish courts, with Retten i Odense as the court of first instance.
